Terms of Service

1 — Acceptance of terms

By accessing the BatiCore platform (baticore.ca), you agree to be bound by these terms of service. If you do not accept these terms, please do not use the service.

When you create your account, your acceptance of these terms is recorded with:

• The accepted version of the terms (v1.1 — July 2026)
• The timestamp of acceptance
• The IP address of the session

This record is retained in accordance with Law 25 and applicable contractual obligations.

2 — Service description

BatiCore is an integrated management software (ERP) built for general and specialized contractors in Québec. It includes the following modules: CRM (client management), Estimates (AI generation, LCCJTI signature), Projects (WBS, budget, phases), Job sites (CCQ attendance, CNESST incidents, daily reports), Workforce & HR (timesheets, CCQ overtime calculations, indicative payroll), Invoicing (progress invoices with GST/QST), Inventory, Legal compliance, AI Copilot, Client portal, Dashboard and Settings.

3 — User account

You are responsible for keeping your credentials confidential. You must notify BatiCore immediately of any unauthorized access to your account. BatiCore cannot be held liable for losses resulting from unauthorized access to your account.

4 — Acceptable use

You agree to use BatiCore only for lawful purposes and in accordance with the laws applicable in Québec and Canada. In particular, you must not:

• Use the service for fraudulent or unlawful activities
• Attempt to access the data of other tenants
• Reproduce or redistribute the service without authorization
• Use unauthorized bots or automated scripts
• Introduce viruses, malware or any code harmful to the service or other users
• Harass, defame or impersonate others or BatiCore
• Disrupt, overload or circumvent the security measures of the service
• Use the service for spam or unauthorized solicitations
• Disassemble, decompile or reverse-engineer the software

5 — Subscriptions and billing

BatiCore offers four subscription plans: Express (the essentials: CRM, estimates, projects), Starter and Business (monthly or annual subscriptions), plus Entreprise (custom quote). Prices are shown in Canadian dollars and exclude sales taxes: GST and QST are added at billing. Billing is processed by Stripe. Your subscription renews automatically. You may cancel at any time from your settings.

You may cancel at any time; you keep access until the end of the monthly period already paid. Apart from the 7-day money-back guarantee on the first paid month, the current month is not refunded. See our Refund Policy.

6 — Intellectual property

BatiCore and all of its components (software, code, trademarks, interface, platform-generated content) remain the exclusive property of Solutions BatiCore Inc. ('BatiCore'). BatiCore grants you a limited, non-exclusive, non-transferable and revocable licence, for the duration of your subscription, solely to use the service. Your data and content (clients, quotes, documents) remain your property; you grant BatiCore the limited right to host and process them in order to provide the service.

If you send us feedback, suggestions or improvement ideas, you grant BatiCore the right to use them freely, without obligation or compensation, to improve the service.

7 — Data and privacy

Your data belongs to your company. BatiCore acts as a processor within the meaning of Law 25 (An Act to modernize legislative provisions as regards the protection of personal information). See our Privacy Policy for more information.

8 — Service availability

For the Express, Starter and Business plans, BatiCore undertakes to keep the service available on a commercially reasonable basis. BatiCore does not guarantee uninterrupted or error-free availability. Scheduled maintenance is announced at least 24 hours in advance by email. BatiCore is not responsible for interruptions caused by third parties (hosting provider, cloud services, Internet outages).

The Entreprise plan includes a dedicated, binding SLA (a separate service-level agreement), in consideration of its price.

9 — Third-party services and links

BatiCore relies on third-party services to operate (Stripe payments, Resend email, Anthropic AI generation, cloud hosting) and may contain links to third-party sites. These services are governed by their own terms and policies, outside BatiCore's control. We are not responsible for the content, practices or any interruption of a third-party service, and a link does not constitute an endorsement. Your use of a third-party service is a matter between you and that third party.

Echoing our Privacy Policy, BatiCore contractually ensures that your business data transmitted to technology providers (notably Anthropic's AI) is processed in transit only and is never used to train public models. Briefs sent to the AI are also anonymized beforehand.

10 — Warranty and disclaimers

To the extent permitted by law, the service is provided "as is" and "as available", without warranty of any kind, express or implied (including merchantability or fitness for a particular purpose). BatiCore does not warrant that the service will be error-free or uninterrupted. This exclusion does not limit any applicable mandatory legal warranties.

11 — Limitation of liability

BatiCore cannot be held liable for indirect, special or consequential damages resulting from use of the service. BatiCore's total liability is limited to the amount paid by the user over the past 3 months.

BatiCore provides calculation tools (CCQ contributions, CNESST compliance, GST/QST taxes) as assistance only. The accuracy of final figures and compliance with regulatory requirements are the sole responsibility of the user, who must validate every result before any remittance, filing or official transmission. BatiCore cannot be held liable for calculation errors, tax penalties or administrative fines arising from use of the service.

Payroll and tax slips. The Workforce & HR module computes source deductions using the formulas published by the Canada Revenue Agency (T4127) and Revenu Québec (TP-1015.F) and produces slips, summaries and electronic files (including the T4 file in the CRA XML format) for preparation purposes only. BatiCore is neither a payroll service provider, nor a preparer or transmitter of information returns, nor a payment service provider: it transmits no file to tax authorities or to the CCQ, pays no wages and holds no funds. The user, as employer, remains solely responsible for the accuracy of the information entered (including its employees' TD1 and TP-1015.3 forms), for validating the amounts, for remitting to the authorities and for filing returns under its own credentials and within the prescribed deadlines. Amounts displayed as "indicative" do not constitute tax, accounting or legal advice. Any rate or contribution value the user modifies in its settings overrides the tables supplied by BatiCore and is its sole responsibility.

12 — Indemnification

You agree to hold Solutions BatiCore Inc., its officers and employees harmless from any claim, loss or expense (including reasonable legal fees) arising from: (a) your breach of these terms; (b) your use of the service in violation of applicable laws; (c) infringement of a third party's rights, in particular uploading data for which you do not have the required rights or consents. BatiCore may, at its expense, assume the exclusive defence of a covered matter, in which case you will cooperate. This obligation survives termination.

13 — Termination and data fate

You may cancel your subscription at any time from your settings. BatiCore may suspend or terminate your access: in the event of non-payment, after 7 to 14 days’ notice giving you time to remedy it; or immediately in the event of a serious security breach, unlawful use or fraudulent activity. A suspension for non-payment does not erase your data during the export window set out below.

Upon termination, an export of your data is provided on request for 30 days; after that period, BatiCore permanently deletes your data within 30 days, subject to legal retention obligations (e.g. tax records, LCCJTI signatures).

Clauses that by their nature must survive termination (intellectual property, warranty disclaimers, limitation of liability, indemnification, governing law) remain in effect thereafter.

14 — Changes

BatiCore reserves the right to modify these terms at any time. Users will be notified by email 30 days before any material change.

15 — Governing law and dispute resolution

These terms are governed by the laws of the province of Québec and of Canada. Any dispute will be submitted to the jurisdiction of the courts of the judicial district of Montréal, Québec.

Before taking any legal action, you agree to first contact us at support@baticore.ca to attempt to resolve the dispute amicably; most situations are settled quickly this way.

Nothing in these terms limits any mandatory rights the law may grant you; in the event of conflict, those rights prevail.

To the extent permitted by law, each party brings its claims on an individual basis.
